These Terms of Use (“Terms”) govern your access to and use of the ComplianceAI platform (“ComplianceAI” or the “Platform”), operated by Accure, Inc. a Virginia corporation (“Accure,” “we,” or “us”). By creating an account, accessing, or using ComplianceAI, you (“User” or “you”) confirm that you have read, understood, and agree to be legally bound by these Terms on behalf of yourself and your organization. 1. Service Description and AI Disclaimer
ComplianceAI leverages artificial intelligence to assist with regulatory analysis and compliance support. You acknowledge and agree that:
– AI-generated outputs may contain errors, omissions, or incomplete analyses.
– All outputs are for informational purposes only and do not constitute legal, regulatory, or compliance advice.
– You are solely responsible for validating and verifying any outputs before relying on them.
– Accure disclaims all warranties regarding the accuracy, completeness, or applicability of any outputs[1][2][5].
2. User Responsibilities
You agree to:
– Independently validate all AI-generated outputs before reliance or action.
– Use ComplianceAI in accordance with all applicable laws, regulations, and professional standards.
– Not upload data that violates any intellectual property rights, confidentiality agreements, data protection laws or any law or regulation of Virginia or the state or country from which you access Compliance AI
3. Non-PII Data Warranty and HIPAA Exclusion
You represent and warrant that:
– Any use of Compliance AI shall not violate any applicable law, rule or regulation.
– All content uploaded to ComplianceAI will be free of Protected Health Information (PHI) as defined by HIPAA, and will not contain personally identifiable information (PII) unless expressly permitted under applicable law.
– You will indemnify and hold Accure harmless from any liability arising from a breach of this warranty to include without limitation attorneys fees and costs.
– ComplianceAI is not intended for processing PHI under HIPAA or similarly regulated data unless otherwise agreed in writing and shall not be used as such.
4. Limitation of Liability
To the maximum extent permitted by law, the User and Users corporate entity agree that use of Compliance AI is under the following limitations:
– ComplianceAI is provided “as-is” and “as-available.”
– Accure disclaims all written, oral, equitable or implied representations and warranties, including merchantability, fitness for a particular purpose, and non-infringement.
– Accure is not and will not be liable for any indirect, consequential, incidental, exemplary, or punitive damages, or any loss of profits, revenues, or business opportunities. To the extent a court or competent jurisdiction holds Accure liable for any of the forgoing or any other matter, the User’s indemnification and hold harmless obligations shall operate to relieve Accure of any such liability cost, fees or expenses.
– Accure’s total liability for any claim will not exceed the amount paid by User for the services in the six (6) months preceding the claim.
5. Indemnification
You agree to defend, indemnify, and hold harmless Accure and its affiliates, officers, directors, employees, and agents from any third-party claims, demands, liabilities, damages, costs, or expenses arising out of any matter to include without limitation:
– Your use or misuse of ComplianceAI,
– Your violation of these Terms,
– Your violation of any third-party rights, applicable law, or regulation [1][5].
6. Force Majeure
Accure will not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, acts of government, war, terrorism, labor disputes, or internet service failures.
7. Class Action Waiver
To the fullest extent permitted by law, you and Accure agree that disputes will be resolved only on an individual basis, and not as part of a class, consolidated, or representative action. You expressly waive the right to participate in any class action or class arbitration.
8. Mandatory Arbitration
Except for claims seeking injunctive or equitable relief, any dispute arising out of or relating to these Terms or ComplianceAI will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
– The place of arbitration will be Fairfax County Virginia.
– The language of arbitration will be English.
– Judgment on the arbitrator’s award may be entered in any court with jurisdiction.
9. Termination
Accure may suspend or terminate your access immediately, without notice, for any reason or no reason to include without limitation any violation of these Terms or if continued access would pose a risk to the security, operations, or reputation of ComplianceAI or Accure.
10. Modifications
Accure reserves the right to modify these Terms at any time by posting revised Terms on the Platform. Continued use of the Platform constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of the State of Virginia, without regard to conflict of laws principles.

Data is retained only as long as necessary for service purposes, unless a longer period is required by law. User content may be deleted upon account termination or at the User’s written request, subject to legal obligations.
5. Third-Party Service Providers
We may use trusted third-party providers for hosting, analytics, or support, who are bound by confidentiality and security obligations[3].
6. ComplianceAI AI Processing Disclaimer
User acknowledges:
– Uploaded documents are analyzed by AI models.
– Outputs may be inaccurate and must be independently validated.
– Accure disclaims all responsibility for reliance on AI-generated content.
7. Changes to This Privacy Policy
We may update this Policy from time to time. Material changes will be communicated appropriately. Continued use of ComplianceAI constitutes acceptance of any updates[3].
